Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your access to and use of the services provided by Kumo ("Kumo," "we," "us," or "our"), including our cloud computing platform, application hosting, virtual private servers, storage services, and any related features, tools, or documentation (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.
2. Acceptance of Terms
By creating an account or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated by reference. These Terms apply to all users of our Services, including visitors, registered users, and paying customers.
You must be at least 18 years of age or the legal age of majority in your jurisdiction to use our Services. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
3. Account Registration
To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update this information to keep it accurate. You are responsible for safeguarding your account credentials and for all activities that occur under your account.
You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or abusive activity.
4. Description of Services
Kumo provides cloud computing infrastructure services, including but not limited to:
- App Platform — Managed application hosting with automatic scaling, load balancing, and container orchestration.
- Virtual Private Servers (VPS) — Configurable virtual machines with full root access and monthly subscription billing.
- Volume — Elastic storage that can be mounted to applications with per-minute billing.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with reasonable notice where practicable. We will make commercially reasonable efforts to notify you of material changes affecting your use of the Services.
5. Acceptable Use
You agree not to use the Services to:
- Violate any applicable laws, regulations, or third-party rights.
- Distribute malware, spam, or engage in phishing or other malicious activities.
- Attempt to gain unauthorized access to our systems or other users' accounts.
- Engage in activities that place an unreasonable load on our infrastructure, including denial-of-service attacks or cryptocurrency mining without authorization.
- Host, store, or distribute content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
- Resell or redistribute the Services without our prior written consent.
We reserve the right to investigate and take appropriate action against any user who, in our sole discretion, violates this Acceptable Use Policy.
6. Payment and Billing
Certain Services require payment. By subscribing to a paid plan, you agree to pay all applicable fees. Prices are listed on our website and may be changed with at least 30 days' advance notice.
Billing for VPS services is based on a monthly subscription. Billing for Volume storage is calculated per GB per minute, based on the formula: (Price per GB per hour / 60) x Size in GB x Total Minutes. All prices are exclusive of applicable taxes.
Payments are due at the beginning of each billing period. We reserve the right to suspend or terminate Services for accounts with overdue payments after providing reasonable notice.
7. Service Level Agreement
We strive to provide reliable Services and offer a 99.5% uptime SLA for our infrastructure. The SLA covers unplanned downtime caused by our systems and does not include downtime resulting from your actions, force majeure events, or scheduled maintenance with advance notice.
Details of our SLA, including eligibility for service credits, are available upon request or in a separate SLA document linked from our website.
8. Intellectual Property
You retain all rights to your content that you upload, deploy, or store using the Services. We do not claim ownership of your content.
The Services, including their design, documentation, code, and branding, are owned by Kumo and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Services without our prior written consent.
9. Data and Privacy
Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal data. By using the Services, you consent to the data practices described in our Privacy Policy.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KUMO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless Kumo, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, or expenses arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
12. Termination
You may terminate your account at any time by contacting us or through your account settings. We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice.
Upon termination, your right to use the Services ceases immediately. We are not responsible for the deletion or loss of your data following termination. We recommend that you back up your data regularly.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, where appropriate, by sending you a notification. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Kumo is established, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through good-faith negotiation or, if necessary, in the competent courts of that jurisdiction.
